Article 1 — Introduction

These Website Terms of Use ("Terms") govern the rights and obligations between White Ship, Inc. ("Company") and individuals who have applied to use the services provided by the Company on this website ("Service") and whose applications the Company has accepted ("User").

In the event of any conflict between these Terms and any other description or explanation of the Service published outside of these Terms, these Terms shall prevail.
Article 2 — Definitions
"Site" means the EGAKU booking website operated by the Company at https://egaku.co/, including any successor service in the event that the name, content, or URL is changed for any reason.
"Service" means all services made available through the Site.
"User" means any person who, having agreed to these Terms, has applied to create an account through the Company's prescribed registration process for the purpose of using the Service.
"Account" means the right to access and use the Service granted by the Company to a User, based on information provided by that User.
"Password" means the character string used to authenticate a User by verifying it against their registered email address when accessing the Service.
"Registration Information" means all information provided by a User to the Company in connection with their use of the Service.
Article 3 — Acceptance of Terms
By accessing or using the Service, each User agrees to and shall comply with all provisions of these Terms.
Article 4 — Amendments

The Company may amend these Terms at any time as necessary to reflect changes in applicable law, changes to the Service, or for any other reason the Company considers appropriate. Unless the Company specifies otherwise, any amendment shall take effect upon publication on the Site.

A User's continued use of the Service following the effective date of any amendment shall constitute the User's acceptance of the amended Terms in full. Users are encouraged to review these Terms periodically. Users who do not agree to the amended Terms must immediately discontinue use of the Service.
Article 5 — Accounts

Any person wishing to use the Service must agree to these Terms and complete the account registration process prescribed by the Company.Users must provide true, accurate, and complete Registration Information, and must keep that information current at all times. This requirement exists to ensure that the Company can reliably communicate important information about the Service to each User.

Users are solely responsible for maintaining the confidentiality of their Password and for preventing unauthorized access. The Company shall treat all activity performed using a registered Password as the activity of the registered User. Users shall bear sole liability for any loss or damage arising from inadequate management of their login credentials, errors in use, or use of their credentials by a third party, and the Company shall bear no liability in such circumstances.

A User who wishes to terminate their use of the Service may delete their Account at any time by following the Company's prescribed account deletion procedure. Account deletion shall be deemed to constitute the User's withdrawal from the Service.

The Company may, without prior notice, suspend or delete a User's Account if the Company determines that the User has violated, or is at risk of violating, these Terms.

All of a User's rights in relation to the Service shall terminate upon deletion of their Account, regardless of the reason for deletion. The Company shall have no obligation to retain any personal data, User content, or other information associated with a deleted Account. Accounts that have been deleted, including accounts deleted in error, cannot be restored. -
A User's Account is personal to that User. No rights to use the Service may be transferred, lent, or otherwise assigned to any third party, including by inheritance.
Article 6 — Personal Information
The Company shall handle Users' Registration Information in accordance with the Company's separately published Privacy Policy.
Article 7 — Prohibited Conduct
The following conduct is prohibited in connection with use of the Service, regardless of whether the relevant User acts intentionally or negligently. Where prohibited conduct is identified, the Company may, without prior notice, delete the relevant content, suspend the User's access to the Service, or revoke the User's Account. The Company is under no obligation to disclose its reasons for any such action or to respond to queries or complaints regarding deletion or suspension.

Any act that violates applicable laws, regulations, court judgments, decisions, or orders, or legally binding administrative measures; or any act that may harm public order or morality.Aiding, abetting, or facilitating any of the conduct described above.

Any act that infringes the intellectual property rights (including copyright, trademark rights, or patent rights), reputation, privacy rights, or other legal or contractual rights of the Company or any third party.

Posting or transmitting content that contains excessive violence, explicit sexual material, expressions that constitute or promote discrimination on the basis of race, nationality, religion, gender, social status, or family origin; content that induces or facilitates suicide, self-harm, or substance abuse; or content that is otherwise antisocial or that is likely to cause offence to others.

Impersonating the Company or any third party, or deliberately spreading false or misleading information.

Any commercial, promotional, or solicitation activity (unless expressly authorized by the Company); any activity for sexual or obscene purposes; any activity directed at meeting or forming personal relationships with other Users; any harassment of or defamatory conduct toward other Users; or any use of the Service for purposes other than its intended purpose.

Providing benefits or assistance of any kind to antisocial forces.

Religious proselytizing or solicitation on behalf of religious organizations.

Unlawfully collecting, disclosing, or transferring personal data, Registration Information, or usage history belonging to other Users.

Any act that places an excessive or disruptive burden on the Company's servers or network systems; use of bots, cheat tools, or other technical means to manipulate or exploit the Service; deliberate exploitation of defects or errors in the Service; repeated unnecessary inquiries or unreasonable demands directed at the Company; or any other conduct that obstructs or interferes with the Company's operation of the Service or other Users' use of the Service.

Any other conduct that the Company determines, on reasonable grounds, to be inappropriate.
Article 8 — User Liability

Users use the Service at their own risk and bear sole responsibility for all actions taken through the Service and their consequences.

Where the Company determines that a User is using the Service in breach of these Terms, the Company may take such measures as it deems necessary and appropriate. The Company is under no obligation to prevent or remedy violations.

If the Company suffers any loss or damage, directly or indirectly (including legal costs and attorneys' fees), as a result of a User's use of the Service, the User must promptly indemnify the Company in full upon request.

In the event of a dispute between Users, the Users concerned shall resolve the dispute at their own responsibility and cost. Where the Company, other Users, or any third party suffers loss or damage as a result of such a dispute, the User responsible for the dispute shall compensate such parties at their own cost.
Where a third party brings a claim against the Company for loss or damage arising from a User's conduct, the User shall resolve that claim at their own cost and responsibility. If the Company is required to pay damages to such a third party, the User shall reimburse the Company for all amounts paid, together with all associated costs.
Article 9 — Enforcement

Where a User is found to have violated these Terms, or where the Company otherwise considers it necessary, the Company may take any of the following measures against that User without prior notice or demand. Users shall raise no objection to such measures:

Requesting the deletion or correction of Registration Information or posted content;

Deleting all or part of Registration Information or posted content, restricting its visibility, or rendering it inaccessible; or
-
Suspending the User's access to the Service or revoking their Account.

The Company shall bear no liability for any loss or damage suffered by a User as a result of measures taken under this Article.
Article 10 — Disclaimers

The Company makes no express or implied warranty that the Service is free from factual or legal defects of any kind, including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, or from errors, bugs, or infringement of third-party rights.

The Company is under no obligation to provide the Service to any User, and shall bear no liability for any loss or damage arising from a User's use of the Site or from their inability to use the Site for any reason.

No advice or information, whether oral or written, obtained by a User directly from the Company or through the Service shall create any warranty not expressly set out in these Terms.
Article 11 — Suspension and Discontinuation of the Service

The Company may, at any time and without prior notice, modify, suspend, or discontinue all or part of the Service if it determines this to be necessary, including in the following circumstances:

Maintenance or inspection of equipment necessary for operating the Service is required;

Suspension or modification is unavoidable for operational or technical reasons;

Equipment used to operate the Service (including servers and communication lines) is interrupted due to an accident or failure;

The Company becomes unable to operate the Service due to force majeure events, including earthquakes, lightning, fire, flooding, power outages, or other natural disasters; or

The Company otherwise determines that suspension or discontinuation is necessary.

The Company shall bear no liability for any loss or damage suffered by Users or prospective Users as a result of any measure taken under this Article.
Article 12 — Severability
If any provision of these Terms, or any part thereof, is found to be invalid or unenforceable under the Consumer Contract Act or any other applicable law or regulation, the remaining provisions of these Terms, and the remaining portion of any partially invalidated provision, shall continue in full force and effect.
Article 13 — Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan. In the event that litigation becomes necessary between a User and the Company, the Tokyo District Court shall have exclusive jurisdiction at first instance.
